Terms of Service

Effective date: October 26, 2026

These Terms of Service are an agreement between you and Ateculus LLC, doing business as Ateculus Cloud (“Ateculus”, “we”, “us”). They apply to our hosting plans, agency plans, the control panel at portal.ateculus.com, and this website (together, the “Services”). By creating an account or using the Services you agree to these terms, and to our Acceptable Use Policy, Refund and Cancellation Policy, and Privacy Policy, which are part of this agreement. If you do not agree, do not use the Services.

If you use the Services for a company or other organization, you confirm that you are authorized to accept these terms for it, and “you” means that organization.

1. Who may use the Services

  • You must be at least 18 years old and able to enter into a binding contract.
  • The Services are currently offered only to customers located in the United States.
  • You may not use the Services if we have previously terminated your account for a violation of these terms, or if the law prohibits you from receiving them.

2. Your account

  • Give us accurate account and billing information and keep it up to date. We send service and billing notices to the email address on your account.
  • Keep your password and any SFTP, database, and backup credentials confidential. You are responsible for everything done through your account, including by team members and anyone else you give access to.
  • Tell us promptly if you believe your account has been accessed without your permission.

3. Plans and allowances

Each hosting plan covers one website and includes the storage, bandwidth, database, backup, and other allowances shown on our Pricing page and in the control panel when you order. Agency plans provide a shared pool of resources that you allocate across your client websites.

  • Storage is a firm limit. When a website reaches its storage allowance, new uploads may fail until you free up space or move to a larger plan.
  • Bandwidth and other usage is measured against your allowance. If a website regularly exceeds its allowance or uses resources in a way that affects other customers, we may ask you to upgrade and, if the problem continues, limit or suspend the website.
  • Plans do not include domain registration or email hosting.
  • We may add, change, or retire features and plans. If a change materially reduces a plan you are paying for, we will give you reasonable notice first.

4. Fees, billing, and taxes

  • Plans are billed in advance, monthly or yearly as you choose, in US dollars, to the payment method on your account. Your plan renews automatically for another month or another year until you cancel. A yearly plan costs the monthly price multiplied by the number of months shown when you buy it, and keeps that number of months at each renewal.
  • For a yearly plan, we email you at least 15 and no more than 45 days before each renewal with the renewal date, the amount, and how to cancel. We will not charge more for that renewal than that email states.
  • You can switch between monthly and yearly billing from the control panel. The switch takes effect at your next renewal.
  • Prices are shown before tax. Applicable taxes are calculated from your billing address and added to your invoice.
  • Upgrades take effect right away with a prorated charge for the rest of the billing period, whether that is a month or a year. Downgrades take effect at the end of the current billing period.
  • If a payment fails, we will notify you and may try the payment again. If an invoice remains unpaid, we may suspend the affected services and, if it is still unpaid after further notice, terminate them.
  • We may change our prices. We will give you at least 30 days’ notice before a price change applies to a plan you already have, and you may cancel before it takes effect.
  • If you believe a charge is wrong, contact us within 60 days of the invoice date so we can review it. Please contact us before disputing a charge with your card issuer. We may suspend an account while a chargeback is open.
  • Cancellations and refunds are covered by our Refund and Cancellation Policy.

5. Your content and responsibilities

You keep ownership of the websites, files, databases, and other content you host with us (“your content”). You give us permission to host, copy, transmit, and back up your content only as needed to provide the Services to you.

  • You are responsible for your content and for your websites, including their code, plugins, themes, application updates, and security.
  • You are responsible for having the rights to everything you host and for complying with the laws that apply to your websites and to the information they collect from their visitors.
  • Backups are a tool we provide, not a guarantee. Scheduled backups run only if you turn them on, they are encrypted with a passphrase that only you know, and a backup cannot be restored without that passphrase. We cannot recover a lost passphrase. Keep your own independent copies of anything important.
  • You must follow the Acceptable Use Policy.

6. Agencies and resellers

If you have an agency plan, you are our customer and you are responsible for your clients’ websites, for your clients’ compliance with these terms and the Acceptable Use Policy, and for all fees for your plan, whether or not your clients pay you. Ateculus does not bill, collect payment from, or enter into a contract with your clients. How you price and invoice your own services is up to you. You are responsible for supporting your clients.

7. Our platform

We own the Services, including the control panel, our software, and our branding. We give you a limited, non-exclusive, non-transferable right to use the Services while your account is in good standing. You may not copy, resell (other than through an agency plan), reverse engineer, or interfere with the Services, or try to access parts of the platform or other customers’ accounts that you are not authorized to use.

If you send us feedback or suggestions, we may use them without any obligation to you.

8. Third-party software and services

The Services let you install and use software from others, such as WordPress, Joomla, Drupal, and Laravel, and rely on services from others, such as Let’s Encrypt for certificates. That software and those services are provided under their own licenses and terms, and we are not responsible for them.

9. Availability, maintenance, and support

We work to keep the Services available and secure, but we do not guarantee that they will be uninterrupted or error free, and we do not offer a service level agreement or service credits unless we have agreed to one with you in writing. We may carry out maintenance that briefly affects the Services and will try to give notice of planned work that is likely to cause noticeable downtime.

Support is provided through support tickets in the control panel. Support covers the platform and the control panel. It does not cover building, debugging, or updating your website or its software.

10. Suspension

We may suspend all or part of your Services, with notice where practical, if:

  • an invoice is overdue;
  • you or your website violate these terms or the Acceptable Use Policy;
  • your website is compromised, is being attacked, or puts the platform or other customers at risk; or
  • we are required to by law or by a court or government order.

We will restore the Services when the reason for the suspension has been resolved. Fees continue to apply during a suspension caused by something you are responsible for.

11. Cancellation and termination

  • You may cancel a plan at any time from the Billing section of the control panel. See the Refund and Cancellation Policy.
  • We may terminate your account or a plan if you seriously or repeatedly violate these terms, if an invoice remains unpaid after notice, or if we stop offering the Services. If we stop offering a Service you have paid for, we will give you reasonable notice and refund any fees you prepaid for the period after it ends.
  • When a plan ends, your right to use it ends and the website, its databases, and its backups are deleted from our systems. Download anything you need before the end of your final billing period. We are not obliged to keep or return your content after that.

12. Disclaimers

The Services are provided “as is” and “as available”. To the fullest extent the law allows, Ateculus disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the Services will meet your requirements, that your content will never be lost, or that the Services will be free of security incidents.

13. Limitation of liability

To the fullest extent the law allows:

  • Ateculus will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, business, or data, even if we have been told they are possible.
  • Ateculus’s total liability for all claims relating to the Services will not be more than the amount you paid us for the Services in the six months before the event that gave rise to the claim.

Some laws do not allow certain limits, so some of these may not apply to you.

14. Indemnification

You agree to defend and indemnify Ateculus and its owners, employees, and contractors against any third-party claim, and the related costs and reasonable legal fees, arising from your content, your websites, your clients (if you are an agency), or your violation of these terms or of the law.

15. Governing law and disputes

These terms are governed by the laws of the State of Texas, without regard to its conflict of laws rules. Before starting any legal action, you and Ateculus agree to try to resolve the dispute informally for at least 30 days after one of us gives the other written notice of it. Any legal action that follows must be brought in the state or federal courts located in Texas, and you and Ateculus consent to those courts.

16. Changes to these terms

We may update these terms. If a change is material, we will give you at least 30 days’ notice by email or in the control panel before it takes effect. If you do not agree to a change, you may cancel before it takes effect. Continuing to use the Services after a change takes effect means you accept the updated terms.

17. General

  • These terms and the policies they refer to are the entire agreement between you and Ateculus about the Services.
  • If part of these terms is found to be unenforceable, the rest remains in effect.
  • If we do not enforce a term, that is not a waiver of our right to enforce it later.
  • You may not transfer this agreement without our written consent. We may transfer it as part of a merger, acquisition, or sale of our business.
  • Neither of us is responsible for a delay or failure caused by events outside our reasonable control.
  • We will send notices to the email address on your account. Send notices to us through the Contact page or to [email protected].
